	Centra Trial Service Terms of Service Agreement ------------------------------------ The Saba Centra Trial Service is provided to you ("Member") under the terms and conditions of this "Terms of Service Agreement". BY COMPLETING THE REGISTRATION PROCESS, YOU ARE INDICATING YOUR AGREEMENT TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS. 1. Description of Service: -------------------------- The Saba Centra Trial Service ("Service") is owned and operated by Saba. ("Centra") Saba is providing Member with the capability to use the Saba Centra 7(tm) for Self-Service Meetings free trial service for a period of 30-180 days via the Internet with software from the Saba Web site ("Software"). The Service and use of the Centra 7 product are available 24 hours per day, 7 days per week. Each week Centra performs planned maintenance to the site on Thursday between the hours of 12:00 AM and 3:00 AM ET. When maintenance is not being performed on the site, it is available for Member use. The Service permits up to 25 people (the presenter and 4 attendees) to use the Trial Service. Centra 7 for Self-Service Meetings is also available as a paid product or service that supports larger meetings, enhanced features and capabilities, and set contract terms. Member is responsible for obtaining and maintaining all computer hardware, software and communications equipment needed to access the Service, and for paying all third-party access charges (e.g., kiosk, ISP, telecommunications) incurred while using the Service. 2. Disclaimer of Warranties: ---------------------------- MEMBER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT MEMBER'S SOLE RISK. THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, AND CENTRA DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. SABA MAKES NO WARRANTY OR REPRESENTATION REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES, REGARDING THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES, REGARDING ANY GOODS OR SERVICES PURCHASED OR OBTAINED THROUGH THE SERVICES, REGARDING ANY TRANSACTIONS ENTERED INTO THROUGH THE SERVICES OR THAT THE SERVICES WILL MEET ANY USER'S REQUIREMENTS, OR BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE. 3. Limitation of Liability: --------------------------- SABA SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF MEMBER'S TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF CENTRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 4. Member Conduct: ------------------ Member will not, and will not permit any of its Attendees, using the Centra Trial Service, to do any of the following: - Directly or indirectly, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code or underlying ideas or algorithms of the Software; modify, translate, or create derivative works based on the Software; or copy (except for archival purposes), rent, lease, distribute, assign, or otherwise transfer rights to the Software; or remove any proprietary notices or labels on the Software. - Engage in any activities or actions that infringe or misappropriate the intellectual property rights of others, including, but not limited to, using third party copyrighted materials without appropriate permission, using third party trademarks without appropriate permission or attribution, and using or distributing third party information protected as a trade secret information in violation of a duty of confidentiality. - Use the Service in any way for spamming to any person or distribution list that has not given specific permission to be included in such a process. - Transmit through the Service any unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise objectionable material of any kind. - Use the Service for any illegal purposes, in violation of any applicable laws or regulations or in violation of the rules of any other service providers, web sites, chat rooms or the like. Illegal purposes may include (without limit) storing, distributing or transmitting any unlawful material, attempting to compromise the security of any networked account or site, or making direct threats of physical harm. - Engage in any activities or actions that would violate the personal privacy rights of others, including, but not limited to, collecting and distributing information about Internet users without their permission, except as permitted by applicable law. - Intentionally omit, delete, forge or misrepresent transmission information, including headers, return mailing and Internet protocol addresses - Assist or permit any persons in engaging in any of the activities described above Member agrees to indemnify, defend and hold harmless Saba, its affiliates, officers, directors, employees, consultants and agents from any and all third party claims, liability, damages and/or costs (including, but not limited to, attorneys fees) arising from your use of the Service, your violation of this Legal Notice or your infringement, or infringement by any other user of your account, of any intellectual property or other right of any person or entity. 5. Termination: --------------- Saba reserves the right to immediately terminate Service to Member at any time without prior notice or liability. Should Member object to any terms and conditions of the Service or any subsequent modifications thereto or become dissatisfied with the Services in any way, Member's only recourse is to immediately: (1) Discontinue use of the Services; (2) Terminate Services membership; and (3) Notify Saba of termination. Upon termination of the Service, Member's right to use the Service and Software shall cease immediately. 6. Privacy Policy: ------------------ Privacy and security of member information are critical components of the Service. Saba’s full Privacy Policy is described at http://www.saba.com/privacy/ 7. Modifications to Service and Terms of Service: ------------------------------------------------- Saba reserves the right to modify or discontinue the Service with or without notice to Member. Saba shall not be liable to Member or any third party should Saba exercise its right to modify or discontinue the Service. Saba may change these Terms of Services (including but not limited to, access to certain features of the Service) at any time by posting modified Terms of Service on its Web site. 8. General: ----------- These Terms of Service will be governed by and construed in accordance with the laws of the United States and the Commonwealth of Massachusetts. Both parties agree that these Terms of Service constitute the entire agreement between the parties, and supersedes and replaces all previous written or oral agreements relating to the subject matter of these Terms of Service.
